Terms of Service

Welcome to Mindbase, operated by HOI FOOD CONCEPTS PVT LTD ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Mindbase website and platform ("Platform"), including our video production marketplace, creator tools, paid webinars and workshops, and related services.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.

1. The Platform

Mindbase connects brands and clients with video creators, editors, motion designers, and AI video specialists. Brands can post projects, review creators, message parties, and fund work through the Platform. Creators can list services, submit proposals, deliver work, and receive payouts subject to our payment and escrow rules. We also offer live and recorded learning experiences such as webinars and workshops.

We are a marketplace and technology provider. Except where we expressly agree in writing to supply creative work ourselves, we do not produce the deliverables exchanged between brands and creators, and we are not a party to that creative engagement beyond facilitating the Platform.

2. Eligibility and Accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• You agree to provide accurate account information and keep it up to date.
• You are responsible for safeguarding login credentials and for activity under your account.
• Notify us promptly at contact@mymindbase.ai if you suspect unauthorized access.

3. Marketplace Conduct

When using the marketplace you agree to:

• post truthful project briefs, portfolios, and profile information
• communicate professionally and honour agreed scopes, timelines, and fees
• not circumvent Platform payments, escrow, or fees to avoid marketplace terms
• not solicit or share illegal, harmful, defamatory, or infringing content
• not scrape, reverse engineer, or disrupt the Platform
• not impersonate Mindbase, our team, or another person or business

We may remove content, suspend accounts, or withhold payouts where we reasonably believe these Terms were violated.

4. Projects, Deliverables, and Payments

Project terms between a brand and a creator (scope, revisions, deadlines, usage rights) are set by the parties on the Platform or in writing. Fees displayed at checkout are charged through our payment partners. Funds may be held in escrow until delivery is confirmed or a dispute is resolved under Platform rules.

Payment processors (for example Razorpay or Stripe) handle card, UPI, and similar methods under their own terms. You authorise us and those processors to charge the amounts shown for projects, webinars, and other purchases. Taxes, if applicable, are your responsibility unless stated otherwise at purchase.

5. Webinars and Learning Products

Paid webinar or workshop tickets grant access to the scheduled session and any materials we expressly include. Seat details, timing, and join instructions are provided by email or WhatsApp after payment. Access is personal unless we state otherwise. Recording availability is at our discretion.

6. User Content and Intellectual Property

You retain ownership of content you upload (briefs, messages, media, portfolio assets), subject to the licence below. You confirm you have the rights to share that content and that it does not infringe third-party rights.

You grant the Company and its service providers a limited, worldwide licence to host, process, display, and transmit your content solely to operate the Platform (including showing portfolios, running projects, and providing support).

Except for your content, the Platform — including software, design, trademarks, and documentation — is owned by the Company or its licensors. Deliverables created by a creator for a brand are owned as agreed between those parties; Mindbase claims no ownership of those deliverables unless we are the contracted creator.

7. AI and Automated Tools

Some Platform features may use third-party AI models to assist with suggestions, media generation, or workflows. Outputs can be inaccurate or incomplete. You are responsible for reviewing AI-assisted output before commercial use. We do not use your private project files to train public or global AI models.

8. Professional Services

If you engage us for custom, managed, or white-glove work, commercial terms for that engagement will be set out in a separate written agreement. Where that agreement conflicts with these Terms, the signed agreement controls for that engagement only.

9. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of uninterrupted service, fitness for a particular purpose, and non-infringement. We are not liable for disputes between brands and creators, quality of third-party deliverables, or losses from reliance on marketplace listings.

To the maximum extent permitted by law, Mindbase and its affiliates are not liable for indirect, incidental, consequential, special, or punitive damages. Your sole remedy for dissatisfaction with the Platform is to stop using it, subject to any non-waivable consumer rights.

10. Termination

We may suspend or terminate access if you violate these Terms, engage in abuse or fraud, or create risk for other users or the Platform. You may stop using the Platform at any time. Provisions that by nature should survive (including IP, payment, and limitation of liability) will survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the courts located in Ghaziabad, Uttar Pradesh, India, and you consent to personal jurisdiction in those courts.

12. Changes

We may update these Terms from time to time. Revised Terms take effect when posted on the Platform. Continued use after an update constitutes acceptance of the modified Terms.
